Membership Agreement

PLEASE READ THE FOLLOWING MEMBERSHIP AGREEMENT CAREFULLY. DO NOT AGREE TO IT UNLESS YOU ARE IN FULL AGREEMENT WITH THE CONTENTS. By ticking the “Accept Box “AND SUBMITTING” the form you are agreeing to our Term & Conditions of both a “Registered Member” and a “Premium Member”.

Submitting the membership agreement does NOT mean that your company has been approved for membership. You are respectfully requested not to contact any WLN or WRN Member while your Membership is under consideration.


WLN & World Logistics Network, Inc. embraces a professional International alliance of leading independently owned and operated companies worldwide that specialize in the logistics industry. In association with Removal companies, freight forwarders, transportation intermediaries and associated companies working together in a network environment to benefit WLN & WRN worldwide connections philosophy.“Strength in Numbers & Global Locations”

Purpose and Objectives:

The purpose and objectives of WLN & WRN are to:

Act as a worldwide umbrella network of selected members who will cooperate under agreed standards, actively promote and support each other in the handling of , freight forwarding, transportation, logistics, customs brokerage, Household removals and related services by the pooling of sales, operational and financial resources.Empower members with the capability to meet customers “Critical Success Factors” so that they may effectively compete with major multi-nationals and integrator`s using innovative marketing and IT initiatives to create profitability.Embrace a WLN & WRN global branding culture for the purpose of RFQ/RFP opportunities.Attract new members who are the leaders in their own local markets with a global vision mentality; that maintains and surpasses client satisfaction with a reputable status aligned with the highest integrity and service commitment to accepted industry standards in the Global Freight Forwarding, Home removals, Niche market and logistics business. Provide value added facilities to benefit the members, maintain and promote the use of the WLN & WRN websites to aid and assist the development of new business and to provide any other additional initiatives to benefit members through our “Strength in numbers and Global places” philosophy. Develop a member-responsive network that will cooperate and develop a dynamic synergy, operational integrity and efficiencies with financial stability on a non-exclusive basis. Promote a network methodology that adheres to a philosophy of on-going and continuous quality improvement within the network.

Membership Application:

Members are eligible to enroll with  WLN & WRN without any exclusion based on market status, company size, specialist operations, and longevity in business or existing agent/partner affiliations.The WLN & WRN Board of Directors will allow members in each location – defined as major airports or seaports – but additional members will be allowed to join in specific locations if they are not in direct competition with existing members (Examples being companies specializing in niche markets such as courier, exhibition, project cargo, household relocation, fine-arts, perishables, hazmat etc). Certain cities like New York and London have 2 distinct Airports – Newark (EWR) and JFK International (JFK) – Heathrow London (LHR) and Gatwick Airport (LGW).There shall be two Membership categories – Registered associate Companies and Premium Members – and the total number of members shall be unlimited.Regular WLN Members shall be defined as: Companies or organizations that are qualified to do business in their local jurisdictions in accordance with local laws and Companies that are directly involved in the movement, transportation or distribution of freight/cargo/by air,road,sea/home removals/relocation’s/exhibition set ups/pet transport/customs brokers and Companies whose memberships have not been revoked. Associate WLN and WRN Members shall be defined as: Companies or organizations that is qualified to do business in their local jurisdictions in accordance with local laws.Neutral, non-forwarding or transportation industries such as Airlines, Steamship Lines, neutral trucking, neutral NVOCCs, warehousing, ship chartering, GSA companies, Port Authorities, Industry Associations, business consultants, insurance and law firms, and others such as Financial, Employment and Consulting Specialists, Software and E-Commerce companies, etc. Companies whose memberships have not been revoked.

WLN & WRN – Application Process:

Application fees are outlined on WLN & WRN invoices. Costs per country may vary from those stated on our websites and should be agreed within 2 days of submitting your application to become a member online. If you have not agreed in writing separate to agreeing these online terms & conditions our starting entry membership fees will apply irrespective of when you made application to become a member of WLN or WRN. By ticking the box to process your applications you are agreeing to our terms & conditions. Do not tick the box if you do not agree to our terms and conditions and contact WLN & WRN office for clarification. Otherwise if we do not hear from you in writing within a further 2 days, it is deemed that you have accepted our membership fees terms and conditions.

(i) This Membership Agreement is duly authorized (with Member acknowledging that their on-line application is binding) at time and date of registration.

(ii) The Membership Profile (that follows at Step 2 of the application process) is true and correct.The Directors shall check the references, financial background and reputation of the Applicant and notify the Applicant of their acceptance or rejection with 5 days of submission. The Directors has the absolute right to accept or reject applicants. No reason needs to be given.The Directors will also check applicants by way of his personal global contacts that he has assembled during his industry tenure and via the trade references submitted (One Airline – One Steam Ship Line – or other industry related vendor. Upon notification that the applicant has been accepted for WLN & WRN Membership, a full year’s payment of membership Fees are required within 5 business days of receipt of invoice. Each member should have a fully functional website. This may become mandatory for ALL new members in the future.In line with our quality and professional edict we expect all members to have appropriate email domains reflecting their web site. This may also become mandatory for ALL WLN & WRN members in the future.

WLN & WRN – Membership Fees:

Membership Fees for each location are decided by the Board Of Directors of WLN & WRN. They can and may differ for each country or location and are agreed in writing prior to membership acceptance. Fees refer to HQ registration. Each additional office registered is at 50% of the fee agreed for that location. This is applicable within the same country only. Associate Fees are decided by the BOD of WLN & WRN and will differ from those of regular membership.Each member shall pay an annual Membership Fee as established by the WLN & WRN BOD of directors from time to time. New members after January 1, 2018,should note that it may become mandatory to enroll and participate in our Accounts Receivable Insurance Fund, known and referred to as the AR Fund. This will give protection to members against other members defaulting on payment of their account due balances. All fees are payable for a 12 month period from the date of acceptance and will attract a Bank processing fee USD 30.00 if funds are sent electronically to the WLN & WRN bank account. In the event that payment is not received within 7 days of billing or the day of membership renewal, a Euro 250.00 surcharge will be applied and the member shall be considered in default, and Membership revoked if full payment (inclusive of Bad debt AR Fund contribution fee) is not received within the next 8 days.The above Fees shall be payable per Company unless branches are accounted for as wholly or majority owned by the primary company. If renewal membership fees are not received within 15 days of the due date, it is the prerogative of WLN & WRN management to invoke the following: (a) A final reminder for payment will be sent to the member and payment must be received within 7 business days of that alert (b) If the funds are not received then the member will be downgraded to waiting membership approval and their company membership will be downgraded to inactive on our websites until all due fees are paid in full. The accounts Receivable management feel that if a member cannot meet or pay membership fees by a certain deadline, then how can other members expect to be paid on time for monies outstanding that might be due to them . Resignation or revocation of Membership during the year will not entitle Members to any refund of the Annual Fees. Annual Fees are not transferable under any circumstances. Only fully paid Premium members will have access to new members full contact information. New members of both WLN & WRN are listed on the WLN & WRN MEMBERS tab. Only fully paid Premium members will have access to paid members contact information through their own dashboard.

Non Payment Of Initial membership Fees: Please Note

Anybody who registers on our sites WLN OR WRN to become a Full Member ” Premium Member” and has requested Full Premium Membership Status will be expected to pay the agreed fees within 5 days from the date upgrade was requested. We will issue invoice for agreed fees. If that registered company for whatever reason does not pay our invoice and funds are not received in our nominated bank a/c within 5 business days they will be in breach of membership rules. They will be given a further 4 days to pay after first reminder and if funds are still outstanding after this reminder their company will be liable to a “PENALTY FINE ” for wasting our valuable time and resources chasing them. This penalty fine fee will amount to €250.00. In addition until this fine is paid in full the reason will be displayed opposite their company name on our site and remain there until the fine is paid. This company will not be allowed future membership of our network. We will also advise industry sectors of their tardiness to pay.

Referral Policy:

Members are urged to promote WLN & WRN to their own existing partners and agents. To that end, members who have recommended new companies for membership shall be credited with a 30% discount against their next annual membership fee provided that company they recommend joins and fully pays membership fees. The recommended company must mention the existing WLN & WRN member as a reference in their application for membership, or ask the company who recommended them to email the company name to the President of the NETWORK which they are applying for membership of.

AR Fund Conditions:-

The AR Fund is set up to help members feel secure in doing business with other WLN & WRN members who have contributed and fully paid into the AR Fund. They should also apply industry standards of practice and due diligence with those they do business with that are fully paid members of WLN & WRN and in particular those members who have paid into the AR Fund. It is good business practice to ensure you have carried out your own company checks in order to satisfy your own companies standard trading conditions and financial agreements outside of WLN & WRN Terms & conditions. The AR Fund conditions must be strictly adhered to among all members who participate in the fund and the BOD will enforce the “rules of the AR Fund” upon those members who do not strictly follow them in accordance with the procedures as laid down by the BOD of WLN & WRN. The following procedures will apply to all ” paid up members”  of the AR fund. All invoice transactions among members must be invoiced in the same month the transaction occurred and was executed. Members should be given a net monthly credit facility not to exceed USD 4000.00. WLN & WRN Board Of Directors will not be held personally liable for any bad debts incurred by any of its members under any circumstances. The maximum credit facilities given to any member should not exceed USD 4000.00 in any month. If credit given by a member of the AR Fund is over USD 4000.00 in any given month, the excess of USD 4000.00 will not be covered under the AR Fund terms and conditions or the WLN & WRN terms & conditions both of which you will have signed up to and agreed when you applied for membership of  WLN – World Logistics Network. However you may exceed the credit limit of USD 4000.00 as laid down by WLN &WRN World Removals Network Terms & Conditions, but at your own risk of assessment on those members whom you wish to transact business with.  In this instance, neither WLN & WRN or its board of directors will be held responsible under any circumstances as it is outside the USD 4000.00 Credit limit recommended and advised by WLN / WRN BOD when you signed up to membership and to the  AR Fund conditions. The AR Fund will only pay out up to 60% of the” total AR fund” in any 12 month period . If the AR Fund has been exceeded by any individual claim or claims, members will be advised and the fund will cease to pay out any further claims in that particular year due to the depletion of the fund and excess claims in that year. The fund will automatically be re-opened when the amount paid out is back to the same financial status that existed prior to claims in the year which they were exceeded. Please also note that the AR Fund is only payable against International Export shipments and does not cover domestic or internal invoicing among members. The AR Fund covers transactions outside the members country only.


Each member must ensure that WLN & WRN head office is advised of non payment of invoices by members for the month in which they were invoiced if the invoice is not paid by the 10th of the following month after giving 30 days credit. Example a Job which was executed and invoiced on the 1st of January becomes due on the 1st February. If after 10 days that January job has not been paid by 10th of February, WLN & WRN head office must be advised by the 15th of February by email with attachment of the invoices outstanding for the WLN and WRN head office to take action against the offending party. The offending party member will be given a further 7 days in which to pay the January  transactions by the WLN  / WRN finance department after contacting them. If after that 7 day period, that member has still not paid, all WLN / WRN members will be advised. If any member of WLN & WRN owes that offending member money they will be advised not to pay the offending member until such time the offending member has brought the other members account back into credit. Only when advised by WLN / WRN head office by email should any member hold out payment or exceed the WLN / WRN credit terms set for members to operate under. Once the offending member has paid the other members account in full they will be reinstated as a conforming  WLN / WRN member and business can continue to operate as normal within the WLN / WRN terms & conditions. Any member who was advised by the WLN / WRN Board Of Directors to hold payment of the offenders account, should pay the offenders account immediately upon been advised by the WLN / WRN head office to release funds. It should be noted that WLN & WRN members may choose to operate under there own credit terms and this is acceptable to both the WLN & WRN Board Of Directors but in doing so will only be covered by the WLN / WRN terms & conditions which will supersede theirs in the event of any claims. WLN & WRN or its directors will not be held responsible for any members financial losses or material losses unless they have signed up to the WLN / WRN AR Fund signed conditions and paid an annual AR Fund fee of USD 500.00 per office. Registration of membership is acknowledgement of your agreement and of the terms and conditions of membership of WLN & WRN.

Red Alert System:

There will be a Red Alert system in place for members to report to the finance department of WLN & WRN bad debts. This should be used when members find that another member has not paid there account within the WLN / WRN credit terms as outlined in the invoicing section of this agreement above. An email must be transmitted and sent to the WLN / WRN head office in Ireland up to and including the 15th of each month after the monies are due, advising WLN / WRN head office the details of the member who has not paid or refused to pay. All back up documentation substantiating the non payment must be attached to the email. The WLN / WRN finance committee will follow this non payment up discreetly and insist on immediate payment. If payment is not received within a further 7 days of WLN / WRN finance departments intervention. The bad debt will be followed immediately up again,  and all WLN / WRN members will be notified not to transact any  business with this company until the debt has been settled. The offending  company name will be taken down off the WLN / WRN website.The measures that WLN / WRN may take in its efforts to stamp out bad payers will be to advise all members that this member is in default of his membership agreement. If Other members have transacted business with the offending member those members will be requested not to pay the offenders account until an agreed settlement has been made and reached  between both members that are party to this dispute. If there is a continual history of delaying payment of members accounts by any member of WLN & WRN, the offending member or members will cease to become members of the network and forfeit there membership fees and AR Fund contribution. The BOD of WLN & WRN will do everything in its power to resolve member disputes , and only as a last resort will advise the membership that a problem exists where the BOD have failed to recoup the monies due to the member that has not been paid. If after a reasonable length of time monies remain outstanding to a member and all best efforts including legal action has been exhausted by the member that has not been paid, will the member be entitled to reimbursement from the WLN / WRN AR Fund having met the conditions of the fund  as outlined in the  AR Fund Conditions above.

Termination and revocation of Membership:

Membership of WLN & WRN shall be terminated in the event of any of the following: . Voluntary resignation of the member.

. Non-payment of the initial Membership Fees within 20 days after advice that the member has been accepted for Membership.

Non-payment of Annual Fees within the time frames indicated. Death of a member operating as a sole-proprietor.Dissolution of a Company based on cessation of trading for 7 or more consecutive days or taking an affirmative step to affect dissolution. The sale or transfer of more than 50% of the stock or operating assets in a member company. Continuous non-responses to accounting, operational or WLN / WRN matters, violation of any provisions of this Membership Agreement that are deemed by the WLN -WRN Board of Directors– at its own absolute power and discretion – to warrant such revocation.The member failing to maintain the high standards established by the WLN – WRN board which result in excessive numbers of Nonconformity’s being raised against it by other members. Failure to adhere to Accounting and Settlement requirements.Non-attendance at Conferences in 2 consecutive years. Failure to maintain necessary local operational Licenses or Permits. Any principal of a Member having or assuming a leadership position or ownership in a network that competes directly with WLN – WRN.  In the event of termination or revocation of Membership – for whatever reason – Member agrees to remove the WLN -WRN name, logo etc. from its literature, publicity materials etc. and to refrain from the active solicitation of business under the name and good-reputation of WLN -WRN. Members agree that all actions taken by the WLN & WRN Board in respect of Membership shall be final and binding. There shall be no mechanism to appeal such decisions. Members agree that the WLN & WRN Board shall inform all existing members of the termination or revocation of membership stating the reasons for such occurrence (although the WLN & WRN Board shall not be obligated to provide full details of such reasons).If a member registers or is a known equity holder of another Removals Network/freight/logistics network, they will be terminated immediately and any fees which may have been paid and received in good faith, will not be reimbursed, with the exception where the president of WRN is a board member or owner of a Removal company or logistics company. In this case the company which he holds a personal interest in may become a member and is subject to all  WWLN & WRN membership terms and conditions in the same way as all other fully paid up WLN & WRN members.


Conferences are held primarily to allow members to meet face-to-face to discuss existing business and new business relationships. To this end, the  WLN & WRN Board shall give members ample opportunity to pre-plan, coordinate and schedule these meetings. All Regular WLN & WRN Members are expected to attend the AGC Annual General Conference that will be held each year. Additional meetings may be organized as needed. Conferences may be assigned based on members voting at an AGC Annual General conference. Preference as to location will be given should a member agree to make a financial contribution towards the Conference by means of Sponsorship or other hosting arrangements. The President and BOD will have final say over all matters. Failure by a Regular Member to attend the annual Conference will result in a penalty of Euro 500.00 unless there are serious mitigating factors acceptable to the WLN & WRN Board made in advance of the Conference in writing. Failure to attend a 2nd consecutive Conference may result in revocation of Membership at the discretion of the WLN & WRN Board of Directors. This applies to each company and not to each branch/office.Unless Annual Fees are paid in full, members will not be allowed to participate at Conferences. Members are expected to cover all their “Travel and Entertainment” incidentals and room charges during the conference. Airfare is the responsibility of the member. There will be a registration fee per attendee and this will cover (a) Continental /Full Breakfast each conference day (b) Lunches during the conference days (c) Beverages and snacks during the meetings (d) A One evening dinner/presentation – food/drinks all included and (e) Welcome party on the eve of the meeting. Plus any other items clearly defined as part of the program by the WLN & WRN Board. Registration/Delegate fees must be paid in full prior to commencement and attendance at Conference. Registration fee package may change from conference to conference, the package and cost, will be stated clearly in advance of any conference on the WLN & WRN websites.  WLN -WRN intends to extend to its delegates attending conferences a “fair fee” and in line with costs direct and indirectly absorbed in arranging such functions. Annual Membership fees are non refundable once a member has joined, agreed to WLN & WRN terms & conditions and been accepted for FULL membership.

WRN Organization:

The WLN & WRN Headquarters shall consist of the President and Board of Directors along with support staff as necessary.The WLN – WRN President or Board of Directors shall have the power and authority to establish working sub-committees. Presently, such committees does not exist and will be formed in the future to help grow the WLN & WRN – Philosophy -”Strength in Numbers & Global Locations”.

Accounting and Settlement: It is expected that members of  WLN – WRN shall adhere to industry acceptable accounting and settlement standards. WLN & WRN will not be held responsible or its BOD of directors for those members who choose not to be part of the WLN & WRN INSURANCE- AR Fund  ( Known as Accounts Receivable Fund). This fund is set up to protect  all members in the event of bad debts by another member. Participation in the fund is Euro 550.00 per member company or subsidiary annually. Members who do not participate and pay into the AR Fund will not be protected by the fund and WLN & WRN accepts no liability for any losses caused to or by another member under any circumstances whether a paid member into the AR Fund or not. Members should in all cases do their own due diligence when it comes to giving credit to WLN & WRN members or to any company in the same way you would when you take on any new business.

Certification and the Nonconformity system:

WLN & WRN recommends all members to have ISO Certification but this is entirely the decision for individual companies owners and board of directors of those companies Members are expected to issue Sales, Operational and Financial Nonconformity’s against other members with a copy to the WLN / WRN Board. Examples of Nonconformity’s are: Sales Nonconformity’s: Failure to action Routing Orders Failure to respond promptly to sales inquiries Operational Non-Conformity: Failure to issue pre-advices, Mis-rated HAWBS or OBLS. Failure to issue or incorrect Profit Sharing. Failure to supply necessary documents Financial Nonconformity’s: Failure to make prompt monthly settlement Failure to timely pay Conference Fees or Annual Fees The intent of Nonconformity’s are (i) to maintain and improve the quality of the WLN / WRN Network and (ii) to provide advance notice of problems occurring with a Member or Associate .The WLN & WRN President / Board shall monitor Nonconformity’s received and shall take appropriate action – up to and including revocation of membership – of the offending parties.


WLN & WRN maintain web-sites at the following Domains  www.worldlogisticsnetwork.com and www.worldremovalsnetwork.com .  Both sites shall Attempt to solicit business from General shipping agents and the public. Such information received shall be forwarded to all relevant members and to where the enquiries relate to. Where there are more than one member in a specific city, WLN / WRN will distribute to all registered paid up members. The “Members Only” section shall include information contained in the Members Profile , operational contacts, sales contacts, primary contact, finance contacts specific to city/countries. Members are totally responsible for advising WLN & WRN Network membership about any updates and changes to their companies communications profile.

Disputes and arbitration:

The President is available to use his independent status to resolve disputes and differences between members. All decisions will be made by the WLN & WRN President or BOD should this service be required, both parties must agree in advance to accept the majority decision of the WLN & WRN President, without resorting to further litigation The fee for this service will be a minimum of Euro 1,500.00 payable equally between the two contesting parties. This fee may be higher depending on the specific details of the dispute presented to the WLN & WRN President.

Membership Benefits:

WRN & WLN Membership Benefits are listed on the  WLN & WRN Websites and are continuously being updated. Members are urged to promote the name and logo of WLN & WRN on all correspondence such as, email signatures, letterhead, stationery, business cards etc. and use every opportunity to create exposure for the networks and its other members. In all correspondence between members they should use the words WRN or WLN in the subject line of every email so each member knows they are dealing with a WLN and WRN member.



The working language of  WLN & WRN shall be English. All rights, title and interest in the name GMLN & WRN and associated logos are owned by the WLN & WRN Board of Directors equally and with trademark pending. Communications shall be primarily by email. Members are expected to maintain an email account and the facility to access attachments in either Microsoft Word or Excel.The Governing Law of  WLN & WRN shall be that of the Republic Of Ireland and the WLN & WRN Board may change this law at any future date subject to its full board being present at that meeting. WLN & WRN may change its location, telephone, fax and other contact details as may be deemed appropriate by the WLN and WRN Board of directors at any future date having given written notification to all its members.

Legal Liability:

WRN shall not be responsible for any damages or legal claims beyond the amount of Annual Fee paid in the preceding year by the specific party. Members shall not, solely because of membership of GMLN & WRN, be personally liable for any debts, obligations or liabilities of GMLN & WRN.

Conference Attendance:

Members who have paid to attend our conferences are entitled to a refund of conference fee only if that conference did not take place and they had paid. There are no refunds if a conference venue or hotel has to be changed at short notice or if the accommodation offered in any package paid for in advance can not be met, or the standard of accommodation has changed in any way, what so ever . However we will refund any activity which is cancelled due to operator or sub-contractor failing to provide the facilities or event , also if the numbers attending make any activity or event not viable to proceed with, we will refund as outlined in this paragraph. Refunds are made less an administrative fee charge of €55.00 for each activity which a member or non member had signed up for and paid in advance. Hotel accommodation is fully refundable less administrative fee of €85.00 if we include as part of our package along with, bank charges, administration, and exchange rates. In other words, we will only refund the amount received in our bank account. Refunds are made within 50 days of cancellation but will be processed immediately and as soon as bank details are received by those who paid. We will not be held liable for any expenses incurred such as airfares to or from any conference if a conference is cancelled. Neither will WLN – WRN or its boards of directors be responsible for alternative accommodation, or travel to or from any event which was cancelled or changed in any way. If a conference is cancelled for any reason we will do our best to advise this in advance. We will give as much notice as possible, so you can make alternative arrangements or cancel any plans made.

Conference Packages refund policy:

A. 75% refund if delegate cancels within 14 days of paying.

B. 50% refund if delegate cancels within 30 days of paying

C. 25% refund if delegate cancels within 45 days of paying

D. No refunds will be made after 45th day.

E. All refunds will be less bank charges or a minimum transaction

fee  of €35.00 which ever is greater.


WLN & WRN Bank Account:

Details will be available at ” Step 2″ of Membership Registration, and advised to you by email when you apply for membership online.

Membership Fees 2018 :  Starting at Euro 750.00  per annum which will differ from country to country pending size of country, population count, and number of members permitted by the BOD to join in each country. The maximum members per country will not exceed 2. If members in a particular country all agree to have more then 2 representing there country, permission will be granted provided the Majority of existing members in that country agree. Branch office fees are 50% of full membership fee per branch office.

AR Fund: Yearly Fee:- Euro 550.00 per annum. There is no obligation on any member to join this fund, but the BOD of WLN and WRN would recommend membership.

Trading Names Terms & Conditions
WLN – “World Logistics Network & World Removals Network Limited ” WRN ” are trading names of World Removals Network Limited. The trading names may be changed at any time without notice and its members will have the same rights as agreed in the terms and conditions they signed up to at either of the sites prior to the name change. There is no refunds given to any signed up member who previously signed up to WLN and WRN registered companies in the event of a registered trading name change. They will be agreeing when they sign up to any trading name which operates under World Removals Network Limited to the conditions of that trading name and Domain name as stated on the site.
